1. Agreement to Terms
These Terms and Conditions ("Terms") govern your access to and use of the BASON.AI platform, website, and related services (collectively, the "Services") provided by BakNode ("we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
BASON.AI is an autonomous school operating network that provides educational technology solutions for students, teachers, parents, and institutions. Our Services include AI-powered learning tools, institutional management features, analytics, and related functionality as described on our website and in your service agreement.
3. Account Registration
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of applicable laws
- Attempt to gain unauthorized access to any part of the Services or related systems
- Interfere with or disrupt the integrity or performance of the Services
- Upload or transmit viruses, malware, or other harmful code
- Harass, abuse, or harm other users, including students and minors
- Copy, modify, distribute, or reverse engineer any part of the Services without authorization
- Use automated systems to scrape or extract data from the Services without permission
- Misrepresent your identity or affiliation with any person or organization
5. Intellectual Property
The Services, including all software, content, designs, trademarks, and technology, are owned by BakNode or its licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms and any applicable subscription agreement.
You retain ownership of content you submit to the Services. By submitting content, you grant us a license to use, store, and process that content solely to provide and improve the Services.
6. AI-Powered Features
BASON.AI includes artificial intelligence features that generate insights, recommendations, and content. AI outputs are provided for informational and educational purposes and should not be relied upon as the sole basis for critical decisions. We do not guarantee the accuracy, completeness, or suitability of AI-generated content.
Institutional users are responsible for reviewing AI outputs in educational contexts and ensuring compliance with their policies and applicable regulations.
7. Institutional Agreements
Schools and educational institutions may enter into separate service agreements that supplement or modify these Terms. In the event of a conflict between these Terms and an institutional agreement, the institutional agreement shall prevail for that customer.
8. Payment & Subscriptions
Paid features are subject to the pricing and payment terms specified in your order or subscription agreement. Fees are non-refundable except as required by law or expressly stated in your agreement. We may change pricing with reasonable notice to existing subscribers.
9. Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect and use personal information.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAKNODE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless BakNode and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
13. Termination
We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with notice where required. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will remain in effect.
14. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through good-faith negotiation or, if necessary, binding arbitration or courts of competent jurisdiction as specified in your institutional agreement.
15. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the revised Terms.
